Imperial Terms
The contractual foundation upon which every digital empire is built. Clarity, fairness, and mutual protection.
1. Scope of Services
Prolydone Digital Empire ("the Empire") provides digital services including but not limited to: web development (WordPress, CMS, e-commerce), AI-powered content creation, professional content writing, academic writing support, and digital strategy consulting. The exact scope of each engagement is defined in the bespoke proposal agreed upon by both parties before commencement.
Any work outside the agreed scope constitutes a change request and may require additional investment and timeline adjustment. Change requests must be submitted in writing and approved by both parties before execution.
2. Engagement Process
All engagements begin with a discovery call, followed by a written proposal containing scope, timeline, deliverables, and investment. Upon acceptance, a 50% deposit is required to secure the build queue. The remaining balance is due upon final delivery, unless otherwise specified in the proposal.
- Proposals are valid for 14 days from date of issue.
- Deposits are non-refundable once work has commenced.
- Delays in client feedback beyond 7 business days may extend the timeline.
- Project commencement is defined as the first working session after deposit receipt.
3. Payment Terms
Standard payment terms are 50% deposit, 50% on delivery. For engagements exceeding £15,000 (Imperial tier), a three-phase payment structure applies: 40% on commencement, 30% at midpoint milestone, 30% on final delivery. All fees are quoted in GBP and are VAT-inclusive where applicable.
Accepted payment methods: bank transfer (BACS), PayPal, and Stripe. Late payments beyond 14 days of invoice date may incur a 2% monthly late fee and suspension of ongoing work until settlement.
4. Intellectual Property
Upon full and final payment, all intellectual property rights in the deliverables are transferred to the Client. This includes source code, design files, content, and assets created specifically for the engagement. Prolydone retains the right to display anonymized or approved portfolio examples unless a separate Non-Disclosure Agreement is in effect.
Third-party assets (stock images, licensed plugins, proprietary APIs) remain subject to their original licensing terms. The Client is responsible for maintaining any recurring licenses post-delivery.
5. Revisions & Approval
Each tier includes a defined number of revision rounds: Essential (2 rounds), Premium (4 rounds), Imperial (unlimited within reason). Revisions must be consolidated and submitted in a single batch per round. Additional revision rounds beyond the agreed limit may be quoted separately.
Final approval is signified by written confirmation from the Client. Once approved, any subsequent changes constitute a new change request.
6. Confidentiality
Prolydone treats all client information, business data, and project details as strictly confidential. We do not disclose client identities, project specifics, or proprietary information to third parties without explicit written consent. All team members are bound by confidentiality obligations.
Academic writing engagements are governed by additional ethical guidelines: we provide research support, structural guidance, and editorial assistance. The Client remains responsible for the final submission and compliance with their institution's academic integrity policies.
7. Limitation of Liability
Prolydone's total liability for any claim arising from an engagement shall not exceed the total amount paid by the Client for that specific engagement. We are not liable for indirect, consequential, or incidental damages including lost profits, revenue, or data loss.
We do not guarantee specific business outcomes (revenue, traffic, rankings) as these depend on external factors beyond our control. We guarantee that deliverables will meet the agreed specifications and quality standards.
8. Termination
Either party may terminate the engagement with 14 days' written notice. In the event of termination by the Client, the deposit is forfeited and any work completed beyond the deposit value will be invoiced proportionally. In the event of termination by Prolydone, a pro-rata refund will be issued for uncompleted work.
9. Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. Both parties agree to attempt good-faith negotiation before resorting to legal proceedings.
10. Amendments
Prolydone reserves the right to update these terms periodically. The terms in effect at the time of proposal acceptance shall govern that engagement. Continued engagement after term updates constitutes acceptance of the revised terms.
